Terms of Service

Effective October 12, 2026

These Terms of Service ("Terms") are a binding agreement between you and Meridian Private Office LLC, which operates BlackVault Picks ("BlackVault," "we," "us"). They apply to our website, our private Telegram channel and any pass, subscription, pick, analysis or content we provide (together, the "Service"). By purchasing a pass, joining our channel or using the Service, you agree to these Terms, our Refund Policy and our Privacy Policy. If you do not agree, do not purchase or use the Service.

Please read Section 18 carefully. It requires disputes to be resolved through individual binding arbitration and waives your right to a jury trial and to take part in a class action.

1.Eligibility

You must be at least 21 years old and legally able to enter a contract. You are solely responsible for knowing and following the laws on sports betting where you live. The Service is void where prohibited. We may refuse or cancel access for anyone at our discretion.

2.What the Service is, and is not

• We provide sports analysis and opinions ("picks") for informational and entertainment purposes only.
• We are not a sportsbook. We do not accept, place or hold wagers or funds for anyone.
• Picks are not financial, investment, legal or professional gambling advice.
• No outcome, win rate, profit or return is guaranteed or implied. Past results, records, examples and member comments do not predict future results. Sports results are uncertain and you can lose money.
• Odds and lines change. A price we post may not be available to you, and we are not responsible for differences.
• We are not affiliated with, endorsed by or sponsored by any league, team, player or sportsbook. Team and league names are used only to identify games.

3.Your responsibility

Every wager you place is your own independent decision and at your own risk. You agree to bet only money you can afford to lose and to follow all applicable laws. BlackVault is not responsible for any losses you incur from betting, whether or not you followed our picks. If gambling is causing you harm, stop and call 1-800-GAMBLER.

4.Passes and pricing

• 1-Day Access: one-time payment; access lasts one (1) day from purchase and does not renew.
• 7-Day Access: recurring subscription billed every week.
• 30-Day Access: recurring subscription billed every month.
• Vault Key: recurring subscription billed every year.

Prices are in U.S. dollars and shown on our website and at checkout before you pay. Taxes may be added where required. Payments are processed by our payment provider, Whop, under its own terms; we do not see or store your full card details. We may change prices for future periods; if the price of your active subscription changes, we will give you notice before it applies, and you can cancel before the new price takes effect.

5.Automatic renewal and cancellation

Week, Month and Vault Key passes renew automatically. By purchasing one, you authorize us and our payment provider to charge your payment method at the start of each new billing period (weekly, monthly or yearly, as selected) at the then-current price plus applicable taxes, until you cancel.

• How to cancel: cancel anytime in your Whop account (Memberships → BlackVault Picks → Cancel), or email us at theblackvaultpicks@gmail.com before your renewal date and we will cancel it for you.
• When it takes effect: cancellation stops future charges. You keep access until the end of the period you already paid for. We do not give partial or prorated refunds for the rest of the period.
• Forgetting to cancel: if you do not cancel before your renewal date, you will be charged for the next period, and that charge is non-refundable under our Refund Policy.
• Failed payments: if a renewal payment fails, your access may be paused or ended until payment succeeds.

6.Promotional codes and discounts

• Promo codes (including VAULT50) are valid one time per customer, for new customers only, and apply to the first payment only. Renewals are charged at the full listed price.
• VAULT50 applies to 1-Day, 7-Day and 30-Day Access only. It does not apply to the Vault Key.
• Codes cannot be combined, transferred, sold or exchanged for cash, and may be changed or ended at any time.
• Using multiple accounts, emails or payment methods to reuse a code is not allowed. We may cancel discounted access, or charge the full price, if a code is misused.

7.Refunds

All sales are final. Access is digital and delivered immediately, so we do not offer refunds except as stated in our Refund Policy or where required by law.

8.Chargebacks and payment disputes

If you have a billing problem, contact us first at theblackvaultpicks@gmail.com. We fix genuine billing errors quickly. If you file a chargeback or payment dispute for a charge you authorized, including a renewal you forgot to cancel, we may immediately end your access, ban you from future purchases and submit evidence to your bank or card issuer, including your purchase details, acceptance of these Terms and your use of the Service.

9.Your access is personal

Your pass is for you only. You may not share, forward, screenshot for distribution, resell, republish or leak picks or channel content, or share your access with anyone else. If you do, we may end your access immediately without a refund and seek any remedies available to us.

10.Acceptable use

You agree not to harass members or staff, post spam or illegal content, impersonate anyone, interfere with the Service, or use the Service for anything unlawful. We may remove content and suspend or end access for any violation.

11.Intellectual property

All content in the Service, including picks, analysis, graphics, the BlackVault name and logo, and website design, is owned by or licensed to BlackVault and protected by law. You receive a limited, personal, non-transferable, revocable license to view it while your pass is active. No other rights are granted.

12.Third-party services

The Service relies on third parties such as Whop (payments and memberships), Telegram (delivery) and Netlify (hosting), and may reference sportsbooks. Your use of those services is governed by their own terms. We are not responsible for their availability, actions or policies, including outages that delay a pick.

13.Availability and changes to the Service

We may change the number, type, timing or sports of picks, change features, or pause or end the Service at any time. Some days may have few or no picks, depending on our judgment of the board. A day or period with fewer picks is not grounds for a refund. If we permanently end the Service, we will stop all future renewals.

14.Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will be uninterrupted or error-free. We do not warrant any outcome, result or profit.

15.Limitation of liability

To the fullest extent permitted by law, BlackVault and its owners, analysts, contractors and partners will not be liable for any gambling or wagering losses, lost profits, or any indirect, incidental, special, consequential or punitive damages arising from or related to the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three (3) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of these may not apply to you. In that case our liability is limited to the smallest amount the law allows.

16.Indemnification

You agree to defend, indemnify and hold harmless BlackVault and its owners, analysts, contractors and partners from any claims, losses, damages and costs (including reasonable attorneys' fees) arising from your use of the Service, your wagers, your breach of these Terms or your violation of any law or third-party right.

17.Termination

We may suspend or end your access at any time if you violate these Terms or misuse the Service, without a refund. Sections that by their nature should survive (including 2, 3, 7, 8, 11 and 14 through 20) survive termination.

18.Dispute resolution: binding arbitration and class action waiver

Informal resolution first. Before starting any claim, you agree to email us at theblackvaultpicks@gmail.com with a description of the issue and what you want, and to give us 30 days to try to resolve it.

Binding arbitration. If we cannot resolve it, any dispute or claim relating to the Service or these Terms will be resolved by final and binding individual arbitration, not in court, except that either party may bring an individual claim in small claims court if it qualifies. Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. It may be held by video or phone, or in Dallas County, Texas. The arbitrator's decision is final and may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.

Class action and jury trial waiver: you and BlackVault each agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. You and BlackVault each waive the right to a trial by jury.

Opt-out. You may opt out of this arbitration agreement by emailing theblackvaultpicks@gmail.com within 30 days of your first purchase with your name, the email used for purchase and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.

If the class action waiver is found unenforceable for a claim, that claim must proceed in court and not in arbitration, and the rest of this section still applies.

19.Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, and by the Federal Arbitration Act. For any matter not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts in Dallas County, Texas.

20.Changes to these Terms

We may update these Terms. The new version will be posted here with a new effective date. Changes apply going forward; continuing to use the Service or letting a subscription renew after a change means you accept the updated Terms. If a change materially affects your active subscription, we will give notice before it applies.

21.General

These Terms, the Refund Policy and the Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms; we may assign ours. Nothing in these Terms limits any rights you have that cannot be waived by law.
